PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE CLOUDHRV APPLICATION. BY USING THE CLOUDHRV APPLICATION, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE, DO NOT USE THE CLOUDHRV APPLICATION.
- Acceptance of Terms
By using the CloudHRV application (the "Application"), you agree to be bound by these Terms of Service (the "Terms"). Inmedix may revise these Terms at any time by updating this posting. Your continued use of the Application after any changes to these Terms constitutes your acceptance of the revised Terms.
- Proprietary Rights
The Application and all its contents, including but not limited to text, images, graphics, logos, and software, are the property of Inmedix, LLC, or its licensors, and are protected by copyright, trademark, and other intellectual property laws. You may not modify, reproduce, distribute, or create derivative works based on the Application or its contents in any manner.
- User Conduct
You agree to use the Application only for lawful purposes and in a manner that does not infringe upon the rights of others. You may not use the Application to:
- Violate any applicable local, state, national, or international law;
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
- Interfere with or disrupt the integrity or performance of the Application or its servers; or
- Modify, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application.
- Third Party Services
The Application may contain links to third-party websites or services. Inmedix is not responsible for the content or practices of these third-party services and makes no representations or warranties regarding their content or accuracy. Your use of these third-party services is at your own risk.
- Disclaimer of Warranties
The Application and its contents are provided "as is" and without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Inmedix does not warrant that the Application will be uninterrupted, error-free, or free from viruses or other harmful components.
- Limitation of Liability
In no event shall Inmedix be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the Application, including but not limited to lost profits, loss of data, or computer failure or malfunction.
- Termination
Inmedix may terminate your access to the Application at any time, without notice, for any reason, including but not limited to violation of these Terms. Upon termination, you must destroy all materials obtained from the Application, and all copies thereof, whether made under these Terms or otherwise.
- Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States of America and the State of Delaware, without giving effect to any principles of conflicts of law.
- Entire Agreement
These Terms constitute the entire agreement between you and Inmedix regarding the use of the Application and supersede all prior or contemporaneous understandings, whether written or oral.
